This Membership Agreement (“Agreement”) is entered into between Elements Acupuncture & Chinese Medicine, LLC (“EACM”) and the enrolled patient (“Member”). Effectively known as our Health & Wellness Plan, this program is designed to encourage the use of our medicine by granting members access to consistent and routine care offered by our licensed providers at an overall reduced cost when utilized to the extent of each plan’s offering, compared to our standard non-member rates.


By enrolling in this program, you understand and agree to the following terms and conditions:

 

Purpose of Membership

Our Health & Wellness Plan is structured to promote regular care using our medicine, which is clinically associated with improved therapeutic outcomes, stabilization of chronic conditions, and sustained wellness support. Membership reflects a mutual commitment between EACM and the Member to prioritize continuity of care for the duration of each paid plan period. Membership is not to be considered insurance or a replacement for insurance, is not a prepayment for future appointments or treatments, and does not alter or expand the professional standard of care provided to any patient regardless of membership status. Members gain access to potentially lower rates overall by fully utilizing the plan’s offerings, when compared to standard non-member rates.


Members are automatically deemed to be a General Wellness or Specialty patient during each visit based on their present condition or concern(s) at the time of their requested appointment. EACM reserves the right to delegate an appropriate provider for the member based on the nature of the visit.


General Wellness encompasses most standard or common health concerns usually associated with visits commonly overseen by a primary healthcare provider where the extent of treatment is limited or a defined treatment plan may not be necessary, as determined by our providers. Our proposed treatments for General Wellness are considered preventative and may suggest routine visits with the intent of improving the state of wellness to help mitigate the effects on overall health caused by daily stressors or the environment.

 

Specialty appointments are defined by the specific nature of a condition or concern(s) that demands a greater depth of experience and knowledge from a provider, and usually involves a detailed treatment plan that is closely monitored by the overseeing provider.   

 

Membership Benefits

Members have access to a guided number of appointments each month with select treatment methods available based on the chosen plan level. Membership is not a pre-payment for future appointments or treatments. Appointments are scheduled at the discretion of the member throughout the entirety of each month and may include priority access to appointment availability. Member dues are collected at the start of each month regardless of the intended usage and enables the member to forgo the cost of some or all of the treatments provided during each visit, based on plan level. Membership does not waive any standard office visit fees, unless visits are under a qualified plan. Any unused visits do not carry forward and are considered expired after the last day of each paid month. These benefits are provided exclusively to the enrolled Member, are non-transferable, and may not be shared. 


Our standard treatment options are offered and provided as usual to all members or non-members, which may include but are not limited to acupuncture, cupping, moxibustion, gua-sha, counseling, and prescribed herbs.


Members with late appointment cancellations or missed appointments will not incur our standard late-cancellation or no-show fee.

 

Clinic Utilization and Member Responsibility

All members must recognize and acknowledge that consistency of treatment is clinically important for the results or success using our medicine and that each Membership reflects a reserved appointment capacity shared by the availability of our providers. All member appointments are overseen by a licensed provider, but without guarantee of any specific provider. Members may request a provider for each appointment, but full discretion to assign a provider for these appointments shall remain with EACM.  The value of this Membership is fully recognized by active participation in the program by the member scheduling appointments and receiving treatments each month. Failure to schedule or attend appointments does not relieve a Member of financial responsibility for the monthly fees or validate a refund. EACM and our providers cannot guarantee specific clinical outcomes, but the consistent utilization of our medicine greatly supports the likelihood of achieving therapeutic benefits.

 

Payment Terms

Monthly Membership fees shall be determined by the selected plan level and will be processed automatically at the beginning of each month using the active primary credit card on file. Unless a qualified plan is selected, all office visit fees associated with each appointment is due at the end of the appointment. A failed payment or inactive credit card will immediately render the membership void, unless valid payment is collected for reinstatement. Billing will occur monthly regardless of appointment utilization and will re-new automatically each month unless a notice to cancel is received by EACM. Membership fees are non-refundable once processed and membership will remain valid for the entirety of each month payment is collected. EACM reserves the right to assess reasonable administrative fees for repeated payment failures.

 

Cancellation and Termination

Membership may be cancelled at any time following the first full month by providing notice to EACM. Cancellations will not be applied retroactively, and no refunds will be issued for partial billing cycles or unused treatments. Membership will remain active for the remainder of the current month after a cancellation request is received. A notice to cancel must be received by the 25th of the current month to prevent membership renewal for the following month. EACM reserves the right to terminate Membership at its discretion for non-payment, repeated missed appointments, disruptive or inappropriate conduct, abuse of the program, violation of any of our policies, or for any undisclosed reason. Termination of Membership does not waive any outstanding financial obligations incurred prior to termination.

 

Appointment and Cancellation Policy

Membership participation does not fully waive or modify our standard appointment cancellation policy. Appointments canceled with less than the required notice period or missed without notice may result in forfeiture of that appointment time and may be subject to applicable late cancellation fees, charged at our discretion. Membership does not guarantee unlimited rescheduling privileges.


NOTE: As an added benefit, Members will not incur our standard late cancellation or no-show fees. Any suspected abuse of this benefit where late cancellations or no-shows are a regular occurrence may be considered abuse of the program and can lead to membership termination without notice.

 

Professional Standards and No Guarantee of Results

Our providers are state licensed acupuncturists and are nationally certified through NCBAHM (National Certification Board for Acupuncture & Herbal Medicine), recognized as the professional standard in the industry. All services and treatments provided under this Membership or without are delivered in accordance with all regulatory standards of practice as determined for all licensed acupuncturists and healthcare professionals alike. Members shall understand that individual responses to treatment will vary and that no specific medical or therapeutic outcome is guaranteed. Membership does not create additional warranties, guarantees, or expanded professional duties beyond those offered to any patient under our care.

 

Not Insurance

Our Health & Wellness Plan is not health insurance and is not meant to replace health insurance. Each Member remains solely responsible for maintaining any desired health insurance coverage and for understanding the benefits and limitations of this Membership as outlined within this agreement.

 

Limitation of Liability

To the fullest extent permitted under state law, EACM shall not be liable for any indirect, incidental, special, or consequential damages or injury arising from participation in this Membership or under the care and treatment given by our providers. Any financial dispute shall be directed to EACM and shall be limited to the amount of fees paid by the Member, and may include but not exceed the extent of all office visit fees previously paid and linked to any disputed claims of damages or injury

 

Program Modification

Members may change plan levels at any time, but adjustments or credits may not be provided for any changes made during active enrollment in the membership.


EACM reserves the right to modify Membership pricing, structure, or included benefits at any time, with or without advance notice given to the member. EACM also reserves the right to discontinue the Membership Program at its discretion at any time.

 

 

Acknowledgment

By enrolling in the Health & Wellness Plan, Members acknowledge that they have read and fully agree to the entirety of the terms and conditions outlined in this agreement.
